Armadillo TV: End User License Agreement

DRAFT: under legal review. Not yet in effect.

Bracketed items are placeholders to resolve before launch.

Last updated: [DATE]

This End User License Agreement ("Agreement") is between Knarrly LLC ("we", "us") and you, and governs your use of the Armadillo TV desktop application and its companion server (together, the "Software").

1. What Armadillo TV is (and is not)

Armadillo TV is a media player. It plays live streams, video on demand, and program guides from sources you supply: a playlist URL, a portal login from a service you subscribe to, or your own files and recordings.

We do not provide, host, sell, bundle, endorse, or recommend any content, channels, or subscription services. The Software ships with no content except an optional demo playlist of publicly available, freely licensed streams. You are solely responsible for the sources you connect and for ensuring your use of them is lawful in your jurisdiction and consistent with your agreements with those providers. Links you paste into the Software (for example, using its "Play a link" feature) are likewise sources you supply; you are responsible for having the right to view them, and the Software does not download or store that content.

2. License

Subject to this Agreement and payment of the applicable fee, we grant you a personal, non-exclusive, non-transferable license to install and use the Software on devices you own or control, for personal, non-commercial use. A license key is sold as one PC ($29) or up to three PCs ($49), for use by the purchaser or their household.

The Software includes a free trial period. After the trial, continued use requires a valid license key.

3. Restrictions

You may not: (a) resell, rent, sublicense, or redistribute the Software; (b) circumvent the license mechanism; (c) reverse engineer the Software except to the extent applicable law permits notwithstanding this limitation; or (d) use the Software to infringe the rights of others.

Third-party components bundled with the Software (including LGPL-licensed libmpv and FFmpeg) are governed by their own licenses (see THIRD-PARTY-NOTICES.md, which ships with the Software). Nothing in this Agreement restricts rights those licenses grant you, including your right to replace those components.

4. Updates and remote policy

The Software may check for updates and for a remote license policy. The policy can require a minimum version or disable builds we reasonably believe are compromised or unsafe. The check sends no personal data (see the Privacy Policy) and the Software is designed to remain usable if the check cannot be reached.

5. Your content and recordings

Recordings, downloads, favorites, and settings are stored locally on your devices and are yours. You are responsible for complying with applicable law regarding recording and retention of content from your sources.

6. Disclaimer of warranty

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that any particular source, format, or device will work with the Software.

7. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING OUT OF THIS AGREEMENT WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE IN THE TWELVE MONTHS BEFORE THE CLAIM, AND WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES.

8. Termination

This Agreement terminates automatically if you materially breach it. Upon termination you must stop using the Software. Sections 6–10 survive.

9. Governing law

This Agreement is governed by the laws of the State of Colorado, the state of formation of Knarrly LLC, excluding its conflict-of-laws rules.
